Cradley Sports Club - Constitution

1) The Objects

To promote for the benefit of the inhabitants of Cradley and the surrounding area the provision of facilities for recreation, sport or other leisure time occupation of individuals who have need of such facilities by reason of their youth, age, infirmity or disablement, financial hardship or social and economic circumstances or for the public at large in the interests of social welfare and with the object of improving the condition of life of the said inhabitants.

2) Management

The Club is governed by a Management Committee.
This constitution refers to club membership and to those participating in sports activities at the Cradley School field and other playing areas. It is expected that each member shall abide by this constitution at all times or forfeit their membership by order of the Management Committee. The Cradley Sports Club is founded as a partnership in part with the Cradley School , whose pupils will benefit from the facilities under the control of the school staff at all times.

3)Conduct of Participants

Members shall be expected to use the facilities in a proper manner and protect the equipment and grounds at all times. They should also report any abuse of the equipment and grounds to the Management Committee as soon as possible.

4) Non members and visitors

The Management Committee expect members to extend goodwill to visiting players , officials and supporters. Abuse of these visitors in any form, will be considered as a major breach of goodwill and will be dealt with firmly by the Management Committee including suspension or cancelled membership.


5) Equipment

Club equipment shall be maintained in good working order and any repairs or modification required must be reported to the Club Secretary as soon as possible. Members must at all times do their utmost to protect the equipment and grounds .

6) Access to the ground to play sport

Control of players , officials and visitors must be supervised at all times. A designated person will, at the request of the Management Committee, be in control of the facilities on sports days.
Access to the facilities on an ad hoc basis by members ,non members and unsupervised school pupils will not be permitted. This is in order maintain the facilities in good order and ensure that players are supervised at all times. Safety is a crucial part of membership which cannot be guaranteed if the area is to be used for casual usage.

7) Committee and Officials

The Management Committee shall be the governing body of the whole of the clubs activities. It shall comprise the Chairman, Secretary, Treasurer and three members. Other members may be
co-opted as ex officio as the Management Committee decides. The ex officio members will have no voting rights. Sub committees may be created in the various sports being undertaken , all of which will be subordinate to the Management Committee

The Management Committee will serve on rotation basis ie after the initial two years two members will be subject to re election at the AGM and two members similarly retiring each year afterwards. The numbers of committee members can be varied only and changes made to this Constitution at the AGM . The Secretary will advise the members of the date of the AGM four weeks prior to the event.

Nominations for the Management Committee duly seconded , must be in the hands of the Secretary two weeks before the AGM. In the event of there being more nominations than available positions , then a ballot will be held to decide the matter. In the event of a tie lots will be drawn.

8) Quorum

Three Management Committee officials or members will need to be present at any meeting to make it valid and able to transact business and vote on matters raised. Motions carried will be by simple majority. The Chairman will have a casting vote in the event of a tie.

9) Finance

A bank account in the name of Cradley Sports Club will be the main depository of club funds and cheques issued will require two signatures for each transaction. The Treasurer will be required to advise the Management Committee at its regular meetings , of the state of the clubs finances.

12) Audits

The AGM will appoint an auditor to undertake the task of officially auditing the clubs accounts
which are to be tabled at the next AGM.

13 ) Annual General Meeting

Attendance at the AGM will open to all club members whose names appear on the club register two weeks prior to the meeting date and only they may vote . No proxy votes will be allowed.

14) Membership

All members shall sign the clubs official membership forms . The Management Committee can, for good reason, refuse membership and remove members from the register after examination of any misdemeanour. Such persons may appeal for reinstatement at the next AGM.

15) Extraordinary General Meetings

EGM’s can be called if seven members submit an application to the Management Committee. This must be held within one month from that date.Any motions carried at the EGM will be determined by a simple majority. The Chairman will have the deciding vote in the event of a tie.Motions carried at an EGM will be as binding as the AGM.

16) Fees

An annual membership fee shall be determined by the Management Committee and advised to the AGM. Fees not paid within one month of the due date will render the membership cancelled. Only on the payment of any overdue fees in full shall the person be reinstated.

17) Equal Opportunities Policy

This club operates an equal opportunities policy in relation to gender, sexual orientation, ethnic minorities, race or religious grounds as recognised in English Law.

18) Protection of Children

This club’s policy on Child Protection meets the minimum standards laid down by the FA and has been adopted by the Trustees as an integral part of this Constitution.

19) Winding Up

(i) If the members resolve to dissolve the Charity , the Trustees will remain in office as charity trustees and be responsible for winding up the affairs of the Charity in accordance with this clause.

(ii) The Trustees must collect in all assets of the Charity and must pay or make provision for all the liabilities of the Charity.

(iii) The Trustees must apply any remaining property or money:-

a) directly for the Objects.

b) by transfer to any charity or charities for purposes the same as or similar to the Charity.

c) in such other manner as the Charity Commissioners for England and Wales (“the Commission” ) may approve in writing in advance.

(iv) The members may pass a resolution before or at the same as the resolution to dissolve the Charity specifying the manner in which the Trustees are to apply the remaining property or assets of the Charity and the Trustees must comply with the resolution if it is consistent with paragraphs (a) - ( c ) inclusive in sub clause (iii) above.

(v) In no circumstances shall the net assets of the Charity be paid to or distributed amongst the members of the Charity (except to a member that is itself a charity).

(vi) The Trustees must notify the Commission promptly that the Charity has been dissolved. If the Trustees are obliged to send the Charity’s accounts to the Commission for the accounting period which ended before its dissolution, they must send to the Commission the Charity’s final
accounts.

20) Amendments to the Constitution

(i) This Constitution may be amended provided that:-

(a) no amendment may be made that would have the effect of making the Charity cease to be a charity at law .

b) no amendment may be mad to alter the Objects if the change would no be within the reasonable contemplation of the members of or donors to the Charity.

c) any resolution to amend this Constitution is passed by not less than two thirds of the members present and voting at a general meeting.

(ii) A copy of any resolution amending this Constitution must be sent to the Commission within twenty one days of it being passed.
